These Terms of Service (“Terms”) govern your access to and use of the SoundBusiness Platform (“Platform”), which is owned and operated by SoundStrategies, LLC (“we,” “us,” or “our”). By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Platform.
1.1 Services Provided:
The SoundBusiness Platform offers entrepreneurship courses that include original songs, interactive activities, and AI-powered coaching. Access is provided via:
• Institutional Partnerships: Subscriptions provided by designated entrepreneurship support organizations (ESOs) for a one-year term. If the ESO ceases payment, the entrepreneur becomes responsible for the subscription.
• Direct Purchases: Individual learners may purchase access directly on a subscription basis.
1.2 Payment, Billing, and Refunds:
Subscriptions are billed on a recurring basis as per the chosen plan. Users may cancel subscriptions following the procedures outlined on the Platform. No refunds will be issued for any partial period, except as required by law. We reserve the right to adjust pricing and billing terms upon notice.
2.1 Account Creation:
To access the Platform, you must create an account with accurate and complete information and update it promptly if any changes occur.
2.2 Eligibility:
You must be at least 18 years of age to use the Platform. By creating an account, you represent that you meet this requirement and have the legal capacity to enter these Terms.
3.1 User-Generated Content (UGC):
Users may upload or generate content (text, audio, images, etc.) when interacting with our AI-powered coaching tools. You retain all rights to your content.
3.2 Confidentiality:
Any trade secrets or confidential business information submitted via the Platform will be kept confidential and will not be disclosed without your consent, except as required by law or necessary for Platform operations.
3.3 Limited License for Operational Purposes:
By uploading or generating content, you grant SoundStrategies, LLC a limited, non-exclusive, non-transferable, revocable license to use, display, and store such content solely for operating, maintaining, and providing the Platform (e.g., for technical troubleshooting, moderation, or display in your account). No broader rights are granted.
4.1 Ownership
All content provided on the Platform—including entrepreneurship courses, original songs, interactive activities, AI-powered tools, graphics, text, etc.—is the exclusive property of SoundStrategies, LLC or its licensors and is protected by copyright, trademark, and other IP laws. All rights not granted herein are reserved.
4.2 License to Use:
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and its content solely for personal, non-commercial purposes. This license does not authorize you to reproduce, distribute, modify, publicly display, perform, or create derivative works from our proprietary content without our written consent.
4.3 Prohibited Uses:
You agree not to:
• Copy, reproduce, distribute, or publicly display any portion of our content without authorization.
• Create derivative works based on our proprietary content.
• Engage in any unauthorized use that might compromise the Platform’s integrity or security.
4.4 Reporting Copyright Infringements:
• If you believe any content infringes your IP rights, submit a notice of alleged infringement with:
• A description of the copyrighted work or IP claimed to be infringed.
• A description sufficient to locate the infringing material.
• Your name, address, email (and telephone number, if applicable).
• A statement of good faith belief that the use is unauthorized.
• A statement under penalty of perjury that your notice is accurate and that you’re authorized to act on behalf of the owner.
• Your physical or electronic signature.
• Upon receipt, we will review the claim and may remove or disable access to the material at our discretion.
4.5 General Business Content:
The Platform may incorporate widely used business concepts and frameworks (e.g., the Business Model Canvas). While these frameworks are in the public domain, any original instructional materials, creative arrangements, and proprietary expressions (including original songs and module content) used to teach these concepts remain the exclusive property of SoundStrategies, LLC.
5.1 Expected Behavior:Users must interact respectfully and constructively. Prohibited behavior includes harassment, hate speech, spam, fraud, posting illegal content, and other harmful activities.
5.2 Content Moderation & Enforcement:
We reserve the right to review, remove, or modify any user-generated content and to take disciplinary actions (warnings, suspensions, or termination) for violations of these guidelines or any Terms.
6.1 No Guarantees on Business Success:
While we provide educational resources and tools for entrepreneurship, we do not guarantee the success of your business ventures. Outcomes are influenced by numerous factors beyond our control.
6.2 Warranty Disclaimer:
THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED (including, without limitation, warranties of merchantability, fitness for a particular purpose, or non-infringement).
6.3 Hold Harmless:
You agree to hold SoundStrategies, LLC, its officers, directors, employees, and affiliates harmless from any claims, damages, or liabilities (including legal fees) arising from your use of the Platform or reliance on its content.
7.1 Data Collection and Use:
We collect data on learner engagement and progress for reporting to our funders and ESOs. Aggregated data may be used to analyze trends and challenges among small businesses; however, no identifiable individual business trade secrets or best practices will be shared.
7.2 Privacy Policy:
Our Privacy Policy (incorporated herein by reference) explains how we collect, use, and protect your personal information.
8.1 Governing Law:
These Terms are governed by the laws of Lake County, Indiana.
8.2 Dispute Resolution; Class Action Waiver:
Any disputes must first be submitted to mediation. If mediation fails, disputes will be resolved by binding arbitration in Lake County, Indiana. By agreeing to these Terms, you waive the right to participate in a class action.
9.1 User Termination:
If you elect to terminate your account, you shall retain access to the Platform until the end of your current paid term. Upon expiration of that term, your account will be deactivated, and no further charges shall accrue.
.9.2 Termination for Violation of Terms of Service:
In the event that you breach these Terms, SoundStrategies, LLC reserves the right to terminate your account immediately. In such cases, you or the paying party shall not be entitled to any prorated refund or credit for fees paid for the remaining term.
10.1 Amendments:
We reserve the right to amend these Terms at any time by posting a revised version on the Platform. Your continued use of the Platform after such changes constitutes acceptance of the new Terms. We will endeavor to notify you of significant changes, but it is your responsibility to review these Terms periodically.
10.2 Indemnification:
You agree to indemnify and hold harmless SoundStrategies, LLC from any claims, losses, or damages arising from your use of the Platform.
10.3 Severability:
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
10.4 No Waiver:
Failure by SoundStrategies, LLC to enforce any provision of these Terms shall not be deemed a waiver of future enforcement of that or any other provision.
10.5 Force Majeure:
SoundStrategies, LLC shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure is due to events beyond its reasonable control, including natural disasters, acts of government, or other unforeseen events.
10.6 Entire Agreement:
These Terms, along with our Privacy Policy and any other legal notices published on the Platform, constitute the entire agreement between you and SoundStrategies, LLC regarding the Platform and supersede any prior agreements.
